I am currently employed with H1B sponsor "A" and work 40hrs a week and get paid by "A".

1) 3 of us are starting a new company: 1 EAD, 1 H1B(myself) and 1 person in India.
2) H1B person's involvement (during non-business hours only) WITHOUT any salary
a)Investment of Money b)Research, Marketing and Sales d)Some interactions with employees e)Frequent discussions with active partners f)Technical Implementations

Questions:
a) Being on H1B what I can and cannot do as a partner in this company as per point-2 above without violating H1B Status?
b) From LLC structure point of view, can the person in India become an active partner for this US based LLC and work for this US based LLC on a day to day basis? If so what are the restrictions? Can he get salary from this LLC?
