H1 B Extension

My H1B expires(never went for stamping) this sep 24 2011(I94 date is the same), I am gonna apply for an extension, but I can't get the reference client letter from my client due to policy, which apparently a very imp document according to my employer(this is the most common RFE ppl get from my company). What are my options if my application is denied, to stay in the US? I was a student(Graduated 2007) and got my H1 approved on sep 2008, now that its expiring one of the options I can think of is getting back to F1, Can I apply for one now and get an I20 in time? Is there are any grace period after my H1 expires(Can I work in that grace period if there is one)? If my I20 start date is after my H1 would I still be able to stay on status during the gap. Please let me know your thoughts.
