H1B Visa Transfer- New last name because of marriage

Hi,
I entered US in Jan 2006 on F1 visa and after graduating was hired by Company X and got my H1 approved in Oct 2008. Was laidoff in Aug 2009, H1B revoked/cancelled and moved out of USA.Re-entered US in Jan 2010 on F1 and I am currently on CPT with company Y. I was offered a job by Company Z this week and can they apply for a H1 transfer ? and Can I start working with that company upon reciept notice?. or need to wait until the approval and need a stamping as well?. I also got a new passport in Nov 2010 because of marriage and last name change. Will this cause any issues when the company applies for a visa transfer. I have my SSN, I-20 from school and DMV updated to match the new passport.
Thanks,
