veterinarian on H1B wants to start his own practice

Hi I am a veterinarian working for a corporate. My brother is a US citizen (not vet)and lives in NY. I am thinking of starting my own veterinary clinic in California (in Cali a non-vet can own 100% of vet clinic and my plan is to start this clinic on my brothers name). PLAN:
a) I will first have my H1B transferred to the potential clinic, sponsored by the original owner. work there for a while and then "buy in" that clinic. My brother will be the owner. Do i have to file for H1 transfer again or can it be merged to this new company owned by my brother? is this plan possible?

Is there any chance that I can file my GC through this company. If no (because the owner is my relative!) than what if we involve another person as shareholder/partner of the company, than can he sponsor my GC?
