From CAP GAP extension to Masters degree

I have graduated from my undergrad degree on May 2008. My OPT started at July 16, 2008. I started working for company A on September 15, 2008. Company A applied for an H1-B COS application for me and I got my approval on June. Currently, I am working under cap gap extension period. However, I am planning to quit my job on August 14, 2009 and going back to school to get my masters degree on September 1, 2009. What should I do for not to be out of status and for the new school to issue me a new I-20? Can I directly transfer my I-20 from my old school to the new school? Please advise me what steps I should follow. Also, my I-94 card has July 16,2009 for the last date. Can I obtain a new I-94 card when the school issues me a new I-20 and change to F1 masters degree student without leaving US?
